We are looking candidate for following position.
Position: Company Secretary and Compliance Officer
Location: Rajkot, Gujarat.
Roles and Responsibilities:
Compliances under Companies Law and Regulatory matters
Ensuring compliance under the Company’s Act 2013 as
amended from time to time and other acts in respect of
Company and its subsidiary companies
Ensuring compliance of the Due Diligence process for the IPO and timely compliance with the Stock Exchange and SEBI during the IPO and Post IPO;
Discharging duties of Compliance Officer including in terms of the Listings Agreement and SEBI Laws, ensuring compliance of SEBI Laws and Depositories Act including Corporate Governance as per SEBI LODR Regulations;
Co-ordinating with Merchant Bankers & Legal Counsels for
Due Diligence for IPO;
Ensure maintenance of all records and returns including
statutory books, including registers of members, directors and secretaries as required under various statutes under
Well versed with online filling procedures of the MCA
(e-forms including XBRL filing);
liaising with external regulators including ROC, RD and advisers Interface with Legal team and counsels for legal cases/ appeals pertaining to Mergers/ , securities issuances etc., Matters with SEBI / SAT;
Coordination with Registrar and Share transfer agency
office ensuring proper maintenance of the register of shareholders and monitor changes in share ownership of the company;
Board Meetings/Shareholder’s Meetings/AGMs
Ensure that board meetings, shareholder meetings are
held in accordance with the applicable laws;
Prepare and maintain minutes, statutory books including registers of members, directors and secretaries; and filing of return with Registrar of Companies, NCLT, Stock Exchanges and Government in respect of Company and its subsidiaries
Organizing the annual general meetings and coordinating publication of the annual report;
10-15 years of experience with excellent knowledge of
Statutory matters, Regulatory matters, Secretarial jobs and
documentation required under Company Law in a multi entity group including 2-3 years of experience with the Listed entity.
Should also have experience of issuance of Securities in an IPO /QIP/ Rights issue;
